    AutoSitu Terms of Use

    These Terms of Use ("Terms") govern your access to and use of autositu.com, the AutoSitu dashboard, and related services for AI-assisted site analysis, feasibility review, engineering concept generation, code and compliance workflows, document processing, reporting, and support (collectively, the "Services"). "AutoSitu," "Company," "we," "us," and "our" refer to AutoSitu.

    By accessing or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent. If you do not agree to these Terms, do not use the Services. If your organization has a separate written agreement, order form, statement of work, data-processing agreement, or similar agreement with us, that agreement controls to the extent it conflicts with these Terms.

    Eligibility and Accounts

    The Services are intended for business and professional use. You must be at least 18 years old and have authority to use the Services on behalf of your organization.

    You are responsible for keeping account credentials secure, maintaining accurate account information, and promptly notifying us of unauthorized access or suspected security issues. Your organization may manage access, permissions, SSO, workspace membership, billing, and administrative controls for accounts associated with it.

    The Services

    AutoSitu provides software tools that help users process project materials, review site and parcel context, generate feasibility and engineering concept outputs, run code and compliance workflows, create reports, and manage submissions. The Services may include automated document extraction, mapping, satellite imagery, parcel information, jurisdictional references, AI-assisted analysis, generated summaries, and collaboration workflows.

    We may modify, suspend, discontinue, or limit any part of the Services at any time. We may also impose usage limits or take operational steps needed to protect security, reliability, or compliance.

    Customer Content

    "Customer Content" means information, files, plans, drawings, PDFs, images, addresses, APNs, parcel information, notes, comments, submissions, prompts, messages, reports, outputs, and other materials that you or your organization submit to, upload to, create in, or generate through the Services.

    As between you and AutoSitu, you retain ownership of your Customer Content. You grant AutoSitu a non-exclusive, worldwide license to host, copy, process, transmit, display, analyze, transform, and create outputs from Customer Content as needed to provide, secure, support, maintain, and improve the Services and to comply with law.

    You represent that you have all rights and permissions needed to submit Customer Content and allow us to process it. You are responsible for the accuracy, legality, confidentiality, and appropriateness of Customer Content submitted under your account or workspace.

    AI Outputs and Professional Review

    The Services use automated systems and AI-assisted workflows. Outputs may be incomplete, outdated, or inaccurate. AutoSitu does not provide legal, architectural, engineering, surveying, construction, tax, financial, or permitting advice, and the Services do not replace review by qualified professionals or authorities having jurisdiction.

    You are responsible for independently verifying outputs, project assumptions, applicable codes, jurisdictional requirements, site conditions, property boundaries, permit requirements, and professional conclusions before relying on them. AutoSitu does not guarantee permit approval, code compliance, constructability, entitlement success, or any business outcome.

    Acceptable Use

    You agree not to:

    • Use the Services unlawfully or in violation of third-party rights.
    • Upload malware, harmful code, or materials intended to disrupt systems.
    • Attempt to bypass security, rate limits, access controls, authentication, billing, or usage restrictions.
    • Reverse engineer, scrape, crawl, benchmark, or extract the Services except as allowed by law or written permission.
    • Use the Services to build a competing product or train a competing model.
    • Submit Customer Content that you are not authorized to use or disclose.
    • Interfere with the integrity, availability, or security of the Services.
    • Use the Services for high-risk decisions without appropriate professional review and human oversight.

    We may investigate violations and suspend or terminate access when needed to protect users, the Services, or our legal obligations.

    Fees, Billing, and Subscriptions

    Fees, payment terms, subscription terms, renewals, taxes, and cancellation rights are governed by the applicable order form, invoice, subscription agreement, statement of work, or other written agreement with AutoSitu. If no separate agreement applies, fees are due as stated at purchase or on the applicable invoice.

    We may use third-party payment processors, such as Stripe, to manage payment methods, invoices, subscriptions, and payment status. Payment processors may have their own terms and privacy policies.

    Third-Party Services and Data

    The Services may use or integrate with third-party services, data sources, models, maps, imagery, parcel records, code references, analytics, infrastructure, document-processing tools, authentication providers, and payment processors. We are not responsible for third-party services or data, and third-party information may be incomplete, delayed, inaccurate, or unavailable.

    Intellectual Property

    AutoSitu and its licensors own the Services, including software, interfaces, workflows, documentation, designs, templates, models, databases, and other technology. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

    If you provide suggestions, feedback, or ideas, you grant us the right to use them without restriction or compensation.

    Confidentiality

    Each party may receive nonpublic information from the other that should reasonably be understood to be confidential. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the Services, except where disclosure is authorized, required by law, or already public through no fault of the receiving party.

    Privacy

    Our Privacy Policy explains how we collect, use, and disclose information. By using the Services, you acknowledge the Privacy Policy.

    Termination

    You may stop using the Services at any time, subject to any payment, subscription, or contractual obligations your organization has agreed to. We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts due, or if continued access would harm the Services or other users.

    After termination, provisions that by their nature should survive will continue to apply, including ownership, confidentiality, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms.

    Disclaimers

    The Services are provided "as is" and "as available." To the maximum extent permitted by law, AutoSitu disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted operation.

    We do not warrant that the Services or outputs will be error-free, complete, current, secure, or suitable for your specific project or jurisdiction.

    Limitation of Liability

    To the maximum extent permitted by law, AutoSitu and its affiliates, officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or procurement of substitute services.

    To the maximum extent permitted by law, AutoSitu's aggregate liability for claims arising out of or relating to the Services or these Terms will not exceed the greater of the amount paid by your organization to AutoSitu for the Services during the three months before the event giving rise to the claim or one hundred U.S. dollars.

    Indemnification

    You will defend, indemnify, and hold harmless AutoSitu and its affiliates, officers, employees, contractors, suppliers, and licensors from claims, damages, liabilities, losses, and expenses arising out of or related to your Customer Content, your use of the Services, your violation of these Terms, or your violation of law or third-party rights.

    Changes to These Terms

    We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as posting the updated Terms in the Services or sending notice to account contacts. Updated Terms are effective when posted unless otherwise stated. Continued use of the Services after changes become effective means you accept the updated Terms.

    Governing Law

    Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Michigan for disputes not subject to a separate written dispute-resolution agreement.
